Terms of Service

These terms apply to all services provided by GoBrandOnline including website design, social media management, and brand identity & templates. By commissioning work, you agree to these terms.

1. Parties

"GoBrandOnline" (we, us) refers to GoBrandOnline, IČO: [add your company registration number], Prague, Czech Republic, reachable at hello@gobrandonline.com.

"Client" (you) refers to the individual or company engaging GoBrandOnline for services.

2. Scope of Services

The specific deliverables, timelines, and pricing for each project are agreed upon in writing (email or signed proposal) before work begins. These Terms govern that agreement. Services include but are not limited to:

Any work outside the agreed scope requires a separate written agreement and may incur additional charges.

3. Payment Terms

3.1 Deposit

A 50% deposit is required before work begins on any project. Work will not commence until the deposit is received. The deposit is non-refundable if the client cancels the project after work has started.

3.2 Balance Payment

The remaining 50% balance is due upon project delivery — when final files or access credentials are ready to hand over. Final deliverables are released only after full payment is received.

3.3 Social Media Retainers

Monthly retainer fees are invoiced on the 1st of each month and payable within 7 days. Late payment may result in pausing of services until the outstanding balance is settled.

3.4 Late Payment

Invoices unpaid after 14 days may incur interest at 0.05% per day on the outstanding amount.

4. Revision Policy

All project packages include 2 rounds of revisions unless otherwise stated in the service-specific pricing (e.g., the Brand Premium package includes unlimited revisions). A revision round means one consolidated set of feedback submitted at one time — not iterative individual changes.

Revisions that represent a change in project scope (new sections, new pages, fundamentally different direction) are not included and will be quoted separately.

5. Intellectual Property & Ownership

5.1 Client Ownership on Full Payment

Upon receipt of full payment, the client owns all custom assets created for them — including logos, website code, copy, templates, and design files. GoBrandOnline assigns full copyright to the client at that point.

5.2 Before Full Payment

Until full payment is received, all work product remains the intellectual property of GoBrandOnline. The client may not use, publish, or distribute any deliverable until the final invoice is settled.

5.3 Portfolio Rights

GoBrandOnline reserves the right to display completed work in our portfolio and marketing materials unless the client requests otherwise in writing within 30 days of project completion.

5.4 Third-Party Assets

Where third-party assets (stock images, fonts, plugins) are used, their respective licenses apply. We will notify you of any assets requiring ongoing licensing fees.

6. Client Responsibilities

The client agrees to:

Delays caused by the client (late feedback, missing content) do not entitle the client to refunds or compensation.

7. Timelines

Estimated project timelines are provided in good faith and begin when all required client inputs (brief, deposit, content) are received. GoBrandOnline will communicate any delays promptly. Neither party is liable for delays caused by circumstances outside their reasonable control (force majeure).

8. Limitation of Liability

GoBrandOnline's total liability for any claim arising from a project shall not exceed the total fees paid by the client for that specific project. We are not liable for indirect, consequential, or incidental losses including lost profits, lost revenue, or business interruption.

The client is responsible for maintaining backups of their website and digital assets. GoBrandOnline is not responsible for data loss after project handover.

Either party may terminate an ongoing engagement with 30 days' written notice. On termination:

Both parties agree to keep confidential any non-public business information shared during the engagement and not to disclose it to third parties without written consent.

11. Governing Law & Dispute Resolution

These Terms are governed by the law of the Czech Republic. Any dispute shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the competent courts in Prague, Czech Republic.

12. Changes to These Terms

We may update these Terms from time to time. The version in force at the time a project is agreed applies to that project. The "Last updated" date above reflects the current version.
